Terms of Service
By accessing or using APODEXA (the "Service") you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
APODEXA converts messy bank and invoice files into validated, structured data, with confidence scores, validation checks, and a review workflow. Features and supported formats may change.
2. Accounts and eligibility
You must be at least 16 years old (or the age of majority in your jurisdiction, if higher) to use the Service. If you use the Service on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to that organization.
You are responsible for your login credentials and API keys and for all activity under your account. Keep them secret and notify us of any unauthorized use.
3. Acceptable use
- You have the right to upload and process the files you submit, and to share any personal or financial data they contain.
- You will not upload unlawful content, malware, or data you are not authorized to process.
- You will not attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service, or exceed documented limits (e.g. the file-size cap).
4. Accuracy, review, and no reliance — please read
- Outputs are not guaranteed to be correct or complete. Confidence scores are heuristic quality signals, not calibrated probabilities or guarantees.
- You are responsible for reviewing outputs before using them, especially any item flagged for review or with low confidence.
- APODEXA does not provide accounting, tax, financial, or legal advice, and its outputs are not a substitute for professional judgment.
- Do not use the Service as the sole control for decisions where an error could cause financial or legal harm without independent verification.
5. Subscriptions and billing
- Paid plans are billed through Stripe on a recurring basis at the price shown at checkout. Pricing may be provisional while being finalized.
- Fees are charged in advance and, unless stated otherwise, are non-refundable except where required by law.
- Subscriptions renew automatically until cancelled; you may cancel at any time, effective at the end of the current billing period.
- You are responsible for applicable taxes. We may change pricing with notice, applying to the next billing period.
6. Intellectual property
We own the Service and its software. You own your uploaded files and the outputs generated from them, and grant us the limited rights needed to process your files and provide the Service.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APODEXA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
9. Indemnification
You will indemnify us against claims arising from your use of the Service or your breach of these Terms, including claims relating to files or data you upload.
10. Termination
You may stop using the Service at any time. You can close your account and permanently delete all of its data yourself from your account settings — deletion takes effect immediately on our live systems, and copies in encrypted backups expire within 90 days (see the Privacy Policy) — and you can export your data first. We may suspend or terminate access for breach of these Terms or to protect the Service. On termination, retention and deletion of data follow the Privacy Policy.
11. Governing law
These Terms are governed by the laws of Japan, and disputes will be resolved in the courts of Tokyo, Japan.
12. Changes
We may update these Terms; material changes will be posted here with a new effective date. Continued use means acceptance.
